How long does it take to form an LLC?
Most states process online filings in 1 to 5 business days. A few (like Texas and California) can take 2 to 3 weeks during peak season. We monitor the queue and notify you the moment your LLC is approved. EIN typically arrives within 24 hours of filing.
What's the difference between an LLC and a corporation?
An LLC (Limited Liability Company) protects your personal assets and lets profits pass through to your personal tax return. A corporation (C-corp or S-corp) has stricter rules and is usually only worth it for high-growth startups raising outside investment. For most small businesses, freelancers, and side hustlers, an LLC is the right call.
Do I need an LLC to start a business?
No, but it's the cheapest insurance you can buy. Without an LLC, you're a sole proprietor and your personal assets (house, car, savings) are exposed if your business gets sued. An LLC creates a legal wall between you and the business. For $9.99 plus a $50 state fee, the math is hard to argue with.
What is an EIN and do I need one?
An EIN (Employer Identification Number) is your business's tax ID, like a Social Security Number for the company. You need it to open a business bank account, hire employees, or file business taxes. The IRS gives them out for free, but the application is confusing and people commonly make mistakes that delay processing. We file it correctly and deliver the confirmation letter.
What's a registered agent and do I need one?
A registered agent is the person or company that receives legal mail (lawsuits, state notices) on your business's behalf. Every state requires one. You can be your own registered agent if you have a physical address in the state and are available during business hours. If not, our partner service is about $125 a year, paid directly to them.
Can I form an LLC in a state I don't live in?
Technically yes, but for most people it's a bad idea. If your business operates from your home state, you'll have to register as a foreign LLC there anyway, which means paying two states' fees and filing two annual reports. File in your home state unless you have a specific reason (like Delaware for venture-backed startups).
What's an Operating Agreement and do I need one?
An Operating Agreement is the internal contract between LLC members (or just yourself, if it's single-member). It defines who owns what percentage, who makes decisions, how profits are split, and what happens if someone leaves. Most states don't legally require one, but banks and investors will ask for it.
